WHEREAS, on April 6, 2026, Trustee Uku submitted a written request to the Village Attorney for legal opinions on the Sewer Fund, copying the full Board and Village Clerk; and

WHEREAS, the request concerns the Village’s obligations under GML §9-a regarding the repayment of the interfund advance by May 31, 2026, and whether the proposed use of sewer revenue complies with GML Article 14-F; and

WHEREAS, the Board is scheduled to hold a budget public hearing on April 13, 2026 and to adopt the FY 2026-27 budget on April 27, 2026, and cannot responsibly act on the Sewer Fund questions without written legal guidance; and

WHEREAS, no written response from the Village Attorney has been received as of the date of this resolution;

NOW, THEREFORE, BE IT RESOLVED by the Board of Trustees of the Village of Red Hook as follows:

1. The Village Attorney is hereby directed to provide a written legal opinion on the Sewer Fund questions submitted by Trustee Uku on April 6, 2026, no later than the April 27, 2026 workshop meeting.

2. The opinions shall be addressed to the full Board and Village Clerk.

3. If any provision of this resolution is held invalid, the remaining provisions shall remain in full force and effect.

4. This resolution shall take effect immediately.

He has not lived in our area for several years. Our bylaws state that each of our funding municipalities appoints one of our five board members, without term, so they serve at the pleasure of your Board of Trustees. We are anxious to have Mark’s replacement join our board. Alex Geller has expressed strong interest in being appointed by the Village of Red Hook to the PANDA board. I support this and would welcome him to the board if appointed. I believe Alex’s interest in education, the arts and civic engagement, combined with his relationships with the schools and other local organizations, can make connections that will attract more programming in these areas, a key objective for us. Also, I see his deep experience in the non-profit world as an asset as we make efforts to build our volunteer base and increase our positive impact in the community. As well, he offers serious expertise in digital communications and media. I recognize Alex does not live in Red Hook, but I see him as deeply connected and committed to Red Hook in his position as library director. Eric Riback PANDA Board Chair
