RESOLVED

  1. by the Town Board of the Town of Red Hook, Dutchess County, New York (by the favorable vote of not less than a majority of all of the members of the Board) as follows: The Supervisor is hereby authorized and directed to execute the Agreement in substantially the form on file with the Town Clerk, with such changes as shall be approved by the Supervisor and which do not affect the substance thereof.
  2. The Supervisor the Town Clerk, and the Town's other officers, employees and agents are hereby authorized and directed for, and in the name and on behalf of the Town, to do all acts and things required or provided by the provisions of the Agreement.
  3. This resolution shall take effect immediately.

  • WHEREAS, the Town Board of the Town of Red Hook has determined that entering into an Agreement with Winnakee Land Trust, Inc. ("Winnakee"), in substantially the form on file with the Town Clerk (the "Agreement")
  • WHEREAS, the Greenway Conservancy for the Hudson River Valley, Inc. ("Greenway") and Winnakee entered into a Memorandum of Understanding dated September 12, 2018, Contract No. 2018-D-06 (the "Grant Agreement")
  • WHEREAS, pursuant to the Grant Agreement, Greenway will provide Winnakee up to $75,000.00 in funds for the payment of certain services performed and expenditures accrued for the Sawkill Red Hook Trailhead Project (the "Project")
  • WHEREAS, Winnakee and the Town have determined it is in the best interest of both parties for the Town to perform certain services on behalf of Winnakee in completing the Project, and for Winnakee to reimburse the Town accordingly
