RESOLVED

  1. The Agreement between the municipalities and Joule is hereby approved. Nothing in this Resolution authorizes the expenditure of funds for such purpose.
  2. Supervisor Robert McKeon, or in his absence Deputy Supervisor William Hamel, is hereby authorized and directed to execute the Agreement in substantially the form on file with the Town Clerk, with such changes as shall not materially affect the substance thereof and which shall be consistent with the terms of this resolution.
  3. This resolution shall take effect immediately.

  • WHEREAS, by Resolution #27, the Town authorized joining with Joule Assets Inc. ("Joule") and other municipalities and parties in the commencement of litigation against Columbia Utilities, LLC, represented by Hodgson Russ LLP, to enforce the terms of the Community Choice Aggregation Electricity Supply Agreement ("Litigation")
  • WHEREAS, Joule has proposed to memorialize an agreement with the municipalities for the payment of legal fees by Joule in connection with the Litigation as set forth in the form of Legal Fee Agreement on file with the Town Clerk ("Agreement")
