RESOLVED

  1. The Supervisor of the Town is hereby authorized and directed to execute the Rider to the PANDA IMA, with such changes as shall be approved by the Supervisor and which do not affect the substance thereof.
  2. The Supervisor of the Town, the Town Clerk and its officers, employees and agents are hereby authorized and directed for and in the name and on behalf of the Town of Red Hook, and to do all acts and things required or provided by the provisions of the Rider to the PANDA IMA.
  3. This resolution shall take effect immediately.
Show preamble — 3 WHEREAS clauses
  • WHEREAS, The Town of Red Hook ("Town"), proposes to execute a Rider dated as of January 1, 2025 to that certain Intermunicipal Cooperation Agreement ("IMA") dated as of May 1, 2011, as extended, between Public Access Northern Dutchess Area, Inc. ("PANDA"), the Village of Tivoli, the Town of Rhinebeck, the Village of Red Hook, and the Village of Rhinebeck ("PANDA IMA").
  • WHEREAS, The purpose of the PANDA IMA is to jointly provide public, educational, and governmental access services on a cable system made available pursuant to the various franchise agreements with Spectrum Northeast, LLC referred to in the PANDA IMA.
  • WHEREAS, The terms of such Rider to the PANDA IMA are hereby determined to be in the best interests of the Town
