RESOLVED
- The Town Board hereby authorizes and directs the Supervisor, or in his absence or unavailability the Deputy Supervisor, to give notice requiring determination of the purchase price for the Purchase Option with respect to the Community Solar Array, and to do all things necessary or convenient to such determination. The Supervisor is further authorized to enter into negotiations regarding the terms and conditions of purchase, subject to further approval by the Board as to exercise of the option.
- The Supervisor, the Town Clerk, and the Town's other officers, employees and agents are hereby authorized and directed for, and in the name and on behalf of the Town, to do all acts and things required in connection therewith.

- WHEREAS, the Town of Red Hook ("Town") entered into the Community Distributed Generation Credit Purchase Agreement with Project Purchase Option dated as of August 1, 2019 (the "CDG Purchase Agreement) with Red Hook CSA, LLC (the "Owner"), to purchase power credits from a 1.73 MW AC Community Distributed Solar (PV) array (the "Community Solar Array")
- WHEREAS, the Project is located on a parcel of land at the Village of Red Hook well site, 58 Firehouse Lane, pursuant to a Land Lease Agreement dated as of June 27, 2019 between the Village of Red Hook and Red Hook CSA, LLC
- WHEREAS, the CDG Purchase Agreement includes a one-time option (the "Purchase Option") as of the 7th anniversary of the Commercial Operation Date ("Option Date") to purchase the Community Solar Array at fair market value, provided that notice is to be within 180 days prior to the Option Date, requiring a determination of the purchase price for the exercise of such option
- WHEREAS, according to the record issued by Central Hudson, the Community Solar Array was placed in commercial operation by the Owner thereof on December 31, 2019
- WHEREAS, the giving of such notice does not obligate the Town to exercise the option
