RESOLVED
- The execution by Supervisor Robert McKeon, or in his absence Deputy Supervisor William Hamel, of the ESA providing for a 24-month rate renewable supply, with 100% NYS Renewable Sources, and an alternate for 50% renewable sources, at the prices set forth on the attached schedule, and with only such changes as shall not affect the substance thereof, is hereby authorized and ratified. Such electricity supply agreement shall be approved by the officer executing such electricity supply agreement consistent with the terms of the Joule Agreement.
- The Supervisor, the Town Clerk and its officers, employees and agents are hereby authorized and directed for, and in the name and on behalf of the Town of Red Hook, to do all acts and things required or provided by the provisions of the approved electricity supply agreement.
- This resolution shall take effect immediately.

- WHEREAS, the Town of Red Hook, Dutchess County, New York (the "Town") has authorized Rider 2 to an agreement (as amended, the "Joule Agreement") between the Town and Joule Assets Inc. ("Joule") authorizing Joule to serve as Community Choice Aggregation Program Administrator of a Community Choice Aggregation Program pursuant to Local Law No. 1 of 2019 entitled "A LOCAL LAW TO ESTABLISH A COMMUNITY CHOICE AGGREGATION PROGRAM FOR THE TOWN OF RED HOOK" and New York State Public Service Commission Order in Case 14-M-0224 - an Order Authorizing Framework For Community Choice Aggregation Opt-Out Program ("PSC CCA Order"), as it may be amended or supplemented, and approving a model form of electricity supply agreement for purposes of solicitation of proposals; and
- WHEREAS, Joule has conducted a competitive solicitation process pursuant to the Joule Agreement and the PSC CCA Order on behalf of participating Hudson Valley Communities, and has providing the results of pricing to the Town Board for its consideration; and
- WHEREAS, the Town Board has determined that it is in the best interests of the Town to authorize the execution of an electricity supply agreement ("ESA") with Direct Energy Services, LLC in the form approved by Joule and file with the Town Clerk; and
