RESOLVED
- Supervisor Robert McKeon, or in his absence, the Deputy Supervisor, is hereby authorized and directed to execute the Professional Services Agreement (Water System Operator-Water District No. 1) with C3ND Environmental Consulting, LLC on the terms and conditions set forth herein. Such agreement shall be in substantially the form set forth in the RFP, with such changes as may be approved by the officer executing such agreement and which do not materially affect the substance thereof.
- This resolution shall take effect immediately.

- WHEREAS, pursuant to a Request for Proposals issued October 15, 2024 (the "RFP"), the Town of Red Hook, Dutchess County, New York (the "Town") solicited proposals for a professional services agreement for water system operator for Water District No. 1 in the Town of Red Hook; and
- WHEREAS, based on its review of the proposal received, the Water District advisory board has recommended that the Town accept the proposal of C3ND Environmental Consulting, LLC, Red Hook, New York (the "Proposal"); and
- WHEREAS, the proposed term of the agreement is three years with an option for up to three additional one-year renewal terms, with a monthly fee of $2300.00, effective January 1, 2025, and with such terms as further provided in the RFP and the Proposal; and
- WHEREAS, such agreement is hereby determined to be in the best interests of the Town and Water District No. 1;
