RESOLVED
- The acceptance of a third-party beneficiary interest in a conservation and preservation easement to be held by the Village of Tivoli to preserve the architectural, historic, and cultural features of the exterior of the structures and grounds of Saint Sylvia's Church and Parsonage on the Property is hereby approved.
- The acceptance of a right of first refusal to purchase the Property is hereby approved.
- The Supervisor or, in his absence, the Deputy Supervisor, is hereby authorized and directed to execute a conservation and preservation easement and a right of first refusal consistent with this resolution in substantially the forms on file with the Town Clerk with such insubstantial changes as may be approved by the party executing the same.
- The officers, employees and agents of the Board are hereby authorized and directed for and in the name of and on behalf of the Board to do all acts and things as may be necessary or, in the opinion of the officer, employee or agent acting, desirable and proper to effect the purposes of the foregoing resolution.

- WHEREAS, the Town is considering the acceptance of an interest as a third-party beneficiary in a conservation and preservation easement to be held by the Village of Tivoli to preserve the architectural, historic, and cultural features of the exterior of the structures and grounds of Saint Sylvia's Church and Parsonage on a ± 1.75 acre parcel located at 104-108 Broadway, identified as tax parcel 134803-6175-18-385028-0000 (the "Property"), and the Town is also considering the acceptance of a right of first refusal to purchase the Property (the "Project"), all as set forth in the form of agreements on file with the Town Clerk
- WHEREAS, the Town has determined that the Project is in the best interests of the residents of the Town
- WHEREAS, on November 12, 2019, by Resolution No. 113 the Town determined that the Project would not have a significant adverse impact on the environment pursuant to the State Environmental Quality Review Act.
