VILLAGE OF RED HOOK RESOLUTION #____ of 2025 DATED: May 22, 2025

A meeting of the Village of Red Hook Board of Trustees was convened in public session at the Village Hall, 7467 South Broadway, Red Hook, NY on May 22, 2025. The meeting was called to order by Mayor Karen Smythe.

RESOLUTION TO TRANSFER HARDSCRABBLE ASSETS TO THE VILLAGE OF RED HOOK HARDSCRABBLE EVENTS CORP.

WHEREAS, the Village of Red Hook has organized and produced Hardscrabble Day and other smaller events for the community for many years, and

WHEREAS, the Village of Red Hook is looking to transfer the responsibility of organizing and producing Hardscrabble Day to a newly formed non-profit organization, The Village of Red Hook Hardscrabble Events Corp., so that Hardscrabble Day will continue well into the future and the Village will be able to support these efforts , and

WHEREAS, the Village of Red Hook has a bank account called Hardscrabble Community Assoc of Red Hook which, as of 4/30/25, has a balance of $5,994.48 that is made up entirely of remaining proceeds from sponsorships of Hardscrabble Day, and

WHEREAS, the Village holds the domain name www.hardscrabbleday.org as well as the Instagram Account “villageofrhevents” and the Facebook account “Village of Red Hook Events Committee” that were used to promote Hardscrabble Day and other events in the Village of Red Hook.

NOW THEREFORE BE IT RESOLVED, that the Village of Red Hook Board of Trustees hereby authorizes the transfer of the following assets to the Village of Red Hook Hardscrabble Events Corp.:

  1. All the money held in the Village’s Hardscrabble Community Assoc of Red Hook bank account

  2. The domain name hardscrabbleday.org

  3. The Instagram account villageofrhevents

  4. The Facebook account Village of Red Hook Events Committee, with the understanding that this name will be changed to no longer include the word “Committee”
