Dear Mayor Smythe:
In preparation for the conversion of the Village’s USDA Rural Development bonds to EFC bonds, we have prepared the attached draft Extract of Minutes setting forth the Refunding Bond Resolution for consideration by the Board of Trustees at its meeting scheduled for November 2, 2023.
Please note that the Refunding Bond Resolution is to be adopted by at least a two-thirds vote of the entire membership of the Board of Trustees, without taking into account any temporary absences or vacancies on the Board. Therefore, four (4) affirmative votes are required for adoption.
We have also attached a summary form of the Refunding Bond Resolution together with the prescribed form of Clerk’s statutory notice in readiness for publication in the official newspaper of the Village. Publication of the Refunding Bond Resolution, in summary, together with such statutory form of notice, commences a 20-day statute of limitations pursuant to the provisions of Section 80.00 et seq . of the Local Finance Law.
Kindly obtain and forward to us a certified copy of the Extract of Minutes and an original Affidavit of Publication from the Village’s official newspaper, when available.
Please ensure that the final proposed Refunding Financial Plan (prepared by Fiscal Advisors & Marketing) is inserted as Exhibit A to the Refunding Bond Resolution, which must appear, or be included by reference, in the Official Minutes of the meeting.
